End User License Agreement

Last updated November 2, 2026

This End User License Agreement (“Agreement”) is between you and Stewart Moreland (“Licensor”, “we”, “us”) and governs your use of the Prosperia app for iPhone (the “Licensed Application”). Your use is also subject to our Terms of Use and Privacy Policy. If this Agreement conflicts with the Terms of Use about the Licensed Application, this Agreement controls.

1. Acknowledgement

You and Licensor acknowledge that this Agreement is concluded between you and Licensor only, and not with Apple Inc. (“Apple”). Licensor, not Apple, is solely responsible for the Licensed Application and its content. This Agreement does not provide for usage rules that conflict with the Apple Media Services Terms and Conditions (the “Usage Rules”) in effect on the date you accept it.

2. Scope of license

Licensor grants you a non-transferable, non-exclusive, revocable license to use the Licensed Application on any Apple-branded iPhone that you own or control, as permitted by the Usage Rules, except that the Licensed Application may be accessed and used by other accounts associated with you through Family Sharing or volume purchasing where the App Store permits it. You may not distribute or make the Licensed Application available over a network where it could be used by multiple devices at the same time. You may not rent, lease, lend, sell, redistribute or sublicense the Licensed Application; copy (except as the Usage Rules permit), decompile, reverse engineer, disassemble, attempt to derive the source code of, modify or create derivative works of it or any part of it, except to the extent the law or the license terms of open-source components it includes allow. Any attempt to do so violates the rights of Licensor and its licensors. This license also governs any updates Licensor provides that replace or supplement the Licensed Application, unless an update comes with its own license.

3. Maintenance and support

Licensor is solely responsible for providing any maintenance and support services for the Licensed Application, as described in this Agreement or required by applicable law. You and Licensor acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services for the Licensed Application. Support: support@stewmore.dev.

4. Warranty

Licensor is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the Licensed Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any, for the Licensed Application to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Licensed Application, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be Licensor's sole responsibility.

EXCEPT AS STATED ABOVE, AND TO THE FULLEST EXTENT PERMITTED BY LAW, THE LICENSED APPLICATION IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND. THE LICENSED APPLICATION DOES NOT PROVIDE FINANCIAL, INVESTMENT, TAX OR LEGAL ADVICE, AND IT DOES NOT MOVE MONEY. AI-GENERATED CONTENT MAY BE INACCURATE.

5. Product claims

You and Licensor acknowledge that Licensor, not Apple, is responsible for addressing any claims by you or anyone else relating to the Licensed Application or your possession or use of it, including: (i) product liability claims; (ii) any claim that the Licensed Application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy or similar legislation, including in connection with the Licensed Application's use of the HealthKit, HomeKit or FinanceKit frameworks, if any. This Agreement does not limit Licensor's liability to you beyond what is permitted by applicable law.

6. Intellectual property rights

You and Licensor acknowledge that, in the event of any third-party claim that the Licensed Application or your possession and use of it infringes that party's intellectual property rights, Licensor, not Apple, will be solely responsible for the investigation, defense, settlement and discharge of any such claim.

You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

8. Developer name and address

Questions, complaints or claims about the Licensed Application should be directed to: Stewart Moreland, [mailing address]; support@stewmore.dev.

9. Third-party terms of agreement

You must comply with applicable third-party terms of agreement when using the Licensed Application. For example, connected bank features use Plaid and are subject to the Plaid End User Privacy Policy, and you must not be in violation of your wireless data service agreement when using the Licensed Application.

10. Third-party beneficiary

You and Licensor acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of this Agreement, and that, upon your acceptance of it, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary.

11. Termination

This license is effective until terminated by you or Licensor. Your rights under it end automatically if you fail to comply with any of its terms. When it ends, you must stop all use of the Licensed Application and delete all copies. Deleting the Licensed Application deletes its data from your device; export first if you want a copy.

12. Limitation of liability

TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT WILL LICENSOR BE LIABLE FOR PERSONAL INJURY OR ANY INCIDENTAL, SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE LICENSED APPLICATION, HOWEVER CAUSED, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL LICENSOR'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED FIFTY U.S. DOLLARS (US$50.00). SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU.

13. U.S. Government end users

The Licensed Application and related documentation are “Commercial Items”, as defined at 48 C.F.R. §2.101, consisting of “Commercial Computer Software” and “Commercial Computer Software Documentation”, as used in 48 C.F.R. §12.212 or 48 C.F.R. §227.7202, as applicable, and are licensed to U.S. Government end users only as Commercial Items with only those rights granted to all other end users under this Agreement.

14. Governing law

This Agreement is governed by the laws of [state], excluding its conflict-of-laws rules, and by the laws of the United States.
